Terms of Service (TOS)

Welcome to Karyoo! These Terms of Use ("Terms") govern your access to and use of Karyoo, Inc., a technology platform that provides tools for business process automation.

By using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

1. Definitions

• "Company": The entity providing the Service – Karyoo, Inc., a Delaware corporation.
• "Customer": The entity or individual using the Service.
• "AI Credits/Tokens": Units that allow use of AI-powered features.
• "Platform": The hosted SaaS environment provided by the Company.
• "Output": Any content or result generated through the Service.
• "Service": The Karyoo application, including all software, APIs, features, and content provided.
• "User", "you", or "your": Any individual or entity using the Service.
• "Karyoo", "we", or "us": Karyoo, Inc., a Delaware corporation.

2. Eligibility and Account Registration

You must be at least 18 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Trial Use

Only one free trial is permitted per user or organization. Creating additional accounts to secure extra trials is prohibited and may lead to immediate suspension or termination.

4. Access & Use Rights

Company grants Customer a non-exclusive, non-transferable license to access and use the Platform during the subscription term.

5. Subscription Fees

• Fees will be disclosed during sign-up or service configuration;
• Unless otherwise specified, all fees are non-refundable;
• You are responsible for all applicable fees and timely payment;
• Karyoo may suspend your access if fees are not paid on time.

6. AI Credits/Tokens

AI credits are purchased separately or included in subscription tiers. The customer is responsible for monitoring usage. Overage fees may apply.

7. Customer Responsibilities

Customer must:

• Provide accurate information.
• Use the Service in compliance with laws and the AUP.
• Maintain the security of access credentials.

8. Permitted and Prohibited Uses

You may use the Service solely for lawful business purposes related to trade compliance and logistics. Customer may not:

• Copy, modify, or reverse-engineer the Platform or any part of the Service;
• Misuse the Service for any unlawful, harmful, or fraudulent activity;
• Use the AI tools to generate harmful, illegal, or infringing content;
• Upload viruses or attempt to disrupt the Platform and/or the Service;
• Circumvent any usage limitations, including free trial boundaries.

9. Service Availability

The Company will use commercially reasonable efforts to maintain uptime. Planned maintenance may occur.

10. Confidentiality

Each party must protect the other's confidential information.

11. Intellectual Property

Karyoo owns all intellectual property rights in and to the Service, including all software, content, logos, and trademarks. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You may not sublicense, reproduce, distribute, or modify the Service except as expressly permitted.

12. Data Use and Security

By using the Service, you may use business process automation data. You retain ownership of your data. You grant Karyoo a license to use submitted data for the sole purpose of operating, maintaining, and improving the Service. We take reasonable steps to secure your data. The Company agrees to maintain administrative, physical, and technical safeguards consistent with industry standards (SOC 2–aligned).

13. Disclaimers and Limitations of Liability

The Service is provided "as is" and "as available" without warranties of any kind. AI outputs may be inaccurate or incomplete. The customer assumes responsibility for verifying results. Karyoo is not liable for indirect, incidental, special, or consequential damages, including loss of business or data. We do not guarantee uninterrupted availability or error-free operation of the Service.

14. Third-Party Integrations

You may enable integrations with third-party services. By doing so, you authorize us to access and use relevant data from those platforms as necessary to provide the Service.

15. AI Output License

Company grants Customer rights to use the Output subject to restrictions in the AI Usage Terms.

16. Indemnification

The Customer agrees to indemnify Company from claims arising from Customer's data, misuse, or unlawful activities. Company indemnifies Customer for third-party IP claims alleging the Service infringes valid IP rights.

17. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or misuse of the platform. Upon termination, all rights and licenses granted to you will cease immediately. Your data may be retained for legal or audit purposes, subject to our Privacy Policy.

18. Force Majeure

We are not responsible for failure or delay in performance due to events outside our control, including natural disasters, war, strikes, or network outages.

19. Amendments

We may modify these Terms from time to time. Material changes will be notified via the Service or email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

20. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. All disputes will be resolved through binding arbitration in Miami, Florida unless otherwise required by law.
